Throughout the site, the terms “we”, “us” and “our” refer to Precision Auto Parts Inc. By accessing our site, utilizing our digital interfaces, or purchasing catalog inventory, you engage in our “Service” and agree to be bound by the following legally binding terms and conditions.

1. Store Access, Guest Checkout, and User Accounts

- Access Framework: We provide open access via guest checkout channels. However, to track order lineages, access our loyalty and corporate reward multipliers, and streamline future procurement, users are strongly encouraged to register a secure corporate customer account.

- Account Liability: If you create an account, you assume 100% responsibility for safeguarding your access credentials. Precision Auto Parts Inc. reserves the absolute right to terminate accounts, refuse service, or cancel orders at our sole discretion.

2. Automotive Fitment Verification & AI Assistant Liability Waiver

A. Customer Liability: The purchaser holds sole and absolute responsibility for verifying that any component, kit, fluid, or aesthetic material ordered is fully compatible with their specific vehicle year, make, model, trim, and mechanical configuration.

B. AI Assistant Tool Disclaimer: Our digital interfaces leverage automated artificial intelligence (AI) chat architectures and fitment matching scripts to help streamline product discovery. This system functions purely as an informational baseline tool. Precision Auto Parts Inc. provides zero legal guarantees regarding the technical accuracy, fitment validation, or mechanical compatibility of AI-generated responses.

C. Absolute Indemnification: By using our AI tools, you explicitly indemnify Precision Auto Parts Inc. against any damages, compatibility failures, returns, or logistical overhead resulting from an AI-suggested part match. Final manual fitment confirmation remains your exclusive obligation.

3. Catalog Data, Pricing Anomalies, and Unilateral Cancellation Rights

- Database Overrides: While we continuously audit our backend inventory links and supplier matrices, database sync anomalies or pricing glitches can occur.

- Right to Terminate: Precision Auto Parts Inc. reserves the absolute right to unilaterally cancel, terminate, and refund any order containing a verified pricing discrepancy, catalog error, or distributor inventory shortage. This right applies even after the purchaser’s credit card has been charged and an automated order confirmation receipt has been sent.

4. Order Cancellations & Financial Processing Windows

- The Cancellation Window: Orders can only be modified or canceled prior to the order being fulfilled at our wholesale distribution center or component tracking queue. Once an order is processed, packaged, or allocated a carrier tracking number, it cannot be canceled and must follow our standard Return Policy frameworks.

- Refund Processing Timelines: Once a valid pre-fulfillment cancellation is executed, the transaction reversal takes 7 to 10 business days to clear banking processing networks and settle into your account.

5. Intellectual Property & User-Generated Content (UGC) License

- Media Property Rights: When you submit product reviews, upload component installation images, or publicly tag our brand assets on social channels (including Instagram, Facebook, and LinkedIn), you grant Precision Auto Parts Inc. an explicit, perpetual, royalty-free, worldwide license to use that media.

- Operational Deployment: We reserve the right to deploy these media assets across our storefront banners, social media marketing channels, technical blogs, and Google SEO data layers without requiring secondary approval or providing financial compensation.

6. Governing Law & Jurisdiction

These Terms of Service and any separate commercial agreements whereby we provide you components or services shall be governed by, interpreted, and enforced in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of law principles.
